6. Intellectual Property

All content, features, and functionality of our services, including but not limited to text, graphics, logos, icons, images, software, and code, are owned by Opryon Labs and are protected by intellectual property laws.
6.2 Limited License
We grant you a limited, non-exclusive, non-transferable license to access and use our services for their intended purpose. This license does not include the right to modify, distribute, or create derivative works from our content.
7. User Content
By submitting content to our services, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content in connection with our services.
You represent that you own or have the necessary rights to submit such content and that it does not violate any third-party rights or applicable laws.
8. Payment Terms
For paid services:
- All fees are quoted in the agreed currency and are non-refundable unless otherwise stated
- Payment is due according to the agreed payment schedule
- We reserve the right to modify pricing with reasonable notice
- Failure to pay may result in suspension or termination of services
9. Disclaimer of Warranties
OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that our services will be uninterrupted, error-free, or secure, or that any defects will be corrected.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPRYON LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
Our total liability for any claim arising from these Terms or our services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.
11. Indemnification
You agree to indemnify, defend, and hold harmless Opryon Labs and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of our services or violation of these Terms.
12. Termination
We may terminate or suspend your access to our services immediately, without prior notice, for any reason, including breach of these Terms. Upon termination:
- Your right to use our services will cease immediately
- We may delete your account and associated data
- Provisions that should survive termination will remain in effect

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our services after such changes constitutes acceptance of the new Terms.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Roorkee, Uttarakhand, India.
15. Dispute Resolution
Any dispute arising from these Terms or our services shall first be attempted to be resolved through good faith negotiations. If the dispute cannot be resolved informally, it shall be submitted to binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 of India.
16. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
17. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Opryon Labs regarding our services and supersede all prior agreements and understandings.
